Terms of Use

These Terms of Use (“Terms”) govern your use of the Proofly mobile application and related support pages (collectively, the “Service”). The Service is operated by Thicle Sarl-S (“Thicle,” “we,” “us,” or “our”). By using Proofly, you agree to these Terms.

2. Eligibility and use of the Service

You may use Proofly only in compliance with these Terms and applicable law. You are responsible for the activity carried out through your use of the app and for the accuracy of information you choose to save or apply.

3. What Proofly does

• store and organize purchase-related information;
• attach receipts and other purchase documents;
• track return windows, warranties, renewals, and reminders;
• review AI-assisted receipt extraction before applying it.

4. Local-first design

Proofly is intended to be a local-first app. Your receipt images, attachments, and purchase records are intended to remain on your device by default.

Where AI extraction is used, receipt image data may be transmitted for processing so structured information can be returned for your review.

5. AI-assisted extraction

Proofly may offer AI-assisted receipt extraction. This feature is provided to help reduce manual input, but extracted results can contain errors, omissions, or incorrect interpretations.

You are responsible for reviewing extracted information before applying it. Proofly is not responsible for decisions you make based on unreviewed or incorrect extracted content.

6. Subscriptions and billing

Proofly may offer Free and paid plans, including auto-renewable subscriptions purchased through Apple’s App Store.

• Subscriptions renew automatically unless cancelled through your Apple account settings before the renewal date.
• Billing, renewal, cancellation, and refunds for App Store purchases are handled subject to Apple’s rules and processes.
• Feature limits, including AI receipt extraction limits, may change over time. We may update plans or limits with appropriate notice.

If you purchase a subscription through Apple, Apple acts as the merchant of record for that purchase.

7. Your content and responsibility

You are responsible for the receipts, attachments, and data you choose to scan, import, store, or process through Proofly.

You must not use the Service to process unlawful content, infringe the rights of others, or misuse the Service in a way that harms the Service, other users, or third parties.

8. Acceptable use

• use the Service in violation of applicable law;
• attempt to bypass usage limits, subscription controls, or technical restrictions;
• reverse engineer, interfere with, or disrupt the Service except where mandatory law permits it;
• use automated or abusive methods to consume AI extraction or other paid functionality beyond intended use.

9. Availability and changes

We may update, improve, suspend, or discontinue parts of the Service at any time. We do not guarantee that the Service will always be available, uninterrupted, or error-free.

10. Privacy

Your use of Proofly is also governed by the Proofly Privacy Policy, which explains how information is processed in connection with the Service.

11. Intellectual property

Proofly, including its software, design, branding, and related materials, is owned by or licensed to Thicle Sarl-S and protected by applicable intellectual property laws. These Terms do not transfer ownership of our intellectual property to you.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law.

To the fullest extent permitted by law, we disclaim warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that receipt scans or AI extractions will always be accurate, that reminders will always be delivered without interruption, or that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

To the fullest extent permitted by law, Thicle Sarl-S and its directors, officers, employees, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of Proofly.

To the fullest extent permitted by law, our aggregate liability for claims arising out of or related to the Service will not exceed the amount you paid to us for the Service in the 12 months preceding the event giving rise to the claim, or EUR 50 if you have not paid us anything, whichever is greater.

14. Termination

You may stop using Proofly at any time. We may suspend or terminate access to the Service if required by law, if necessary to protect the Service, or if you materially violate these Terms.

15. Governing law and jurisdiction

Unless mandatory local consumer law requires otherwise, these Terms are governed by the laws of Luxembourg, and disputes arising from or related to these Terms are subject to the courts of Luxembourg.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may update the effective date above and provide notice where appropriate.
